and 5,000-seat state-of-the art arena surrounded by nine additional NHL / Olympic size rinks, which will become a national training center and destination facility for ice hockey, figure skating, synchronized skating, speed skating, curling and sled hockey. The property also will have a 50,000-square foot dedicated community center, a 15,000-square foot health and training facility, 5000 locker rooms with varying sizes, 10 ice sheets including the main arena, onsite parking for over 420 cars, equipment storage, maintenance and cleaning services as well as a pro shop for all ice sports. The Developer intends for the completed Project to be a national training and destination center with over three million visitors annually. On Tuesday December 10, 2013, the New York City Council voted to approve the development of the Kingsbridge National Ice Center. Given that this vote was the last approval required, it was a momentous occasion for ice sports in New York as it marks the culmination of more than four years of hard work and vision by the KNIC team led by Mark Messier (NHL Hall of Famer and New York Rangers Captain in their 1994 Stanley Cup title), Sarah Hughes (Olympic Gold Medalist) and Kevin Parker. The Armory is located in the Bronx, home to approximately 1.4 million people and the only Borough in New York City without a single year-round sheet of ice. The facility is uniquely positioned next to three subway lines (the 4, B and D lines), enabling access from anywhere in NYC. Other Bronx icons, Yankee Stadium, the Botanical Gardens and the Bronx Zoo, which all attract significant annual visitation, are located nearby. The Company believes that the Ice Center will appeal to ice sports participants in the New York metropolitan area who have limited options to obtain access to ice time. The Ice Center’s location, capacity and state-of-the-art facilities are expected to attract users from across the New York Metropolitan area. Further, the Ice Center’s ability to host tournaments, competitions, exhibitions and large-scale attractions is also expected to draw patrons from the New York metropolitan market and beyond. KNIC presently has close to 60% of total ice time available subscribed through non-binding letters of intent. Letters of intent from various educational institutions as well as ice sports related foundations considering multi-year arrangements for use of ice rinks, program space, locker facilities and parking facilities have been received. List of potential partners includes K-8 schools, High Schools, Colleges, both private and public, Hockey schools, etc. Kingsbridge will also be used as a practice facility for out of town teams visiting NY area NHL teams. There is a tremendous need for this in New York. The Company will offer and sell up to Three Hundred (300) units of Series A membership interest in the Company (each, a “Unit”) to qualified investors for a minimum $500,000 Capital Investment per Unit, for a total Capital Investment of up to $150 million, plus an Administration Expense Fee of $50,000 per Unit (the “Offering”). The Company is managed by Kingsbridge Fund Management, LLC, and a Delaware Limited Liability Company formed on April 13, 2015 (the Managing Member”). Each Unit is offered at a price of $550,000 which is comprised of the minimum $500,000 Capital Investment required pursuant to the EB-5 Program for investments in targeted employment areas (“TEA”), plus an Administration Expense Fee of $50.000.
